KUDEE HUB TERMS AND CONDITIONS

1. INTRODUCTION

Welcome to Kudee Hub ("Kudee Hub", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Kudee Hub platform and related services.

By registering for or using Kudee Hub, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. DESCRIPTION OF SERVICES

Kudee Hub provides a platform that facilitates the purchase of supported stablecoins, including but not limited to:

• USD Coin (USDC)
• Tether USD (USDT)

Kudee Hub acts solely as a facilitator of transactions and does not:

• Provide investment advice;
• Manage investment portfolios;
• Hold customer assets for investment purposes;
• Guarantee profits, returns, or appreciation in value;
• Offer securities, derivatives, or other investment products.

The purchase of stablecoins through Kudee Hub is intended solely for payment, settlement, remittance, and digital asset utility purposes.

3. ELIGIBILITY

To use Kudee Hub, you must:

• Be at least 18 years of age;
• Have the legal capacity to enter into binding agreements;
• Provide accurate and complete registration information;
• Successfully complete any required identity verification procedures.

Kudee Hub reserves the right to refuse service to any person at its sole discretion and in accordance with applicable laws.

4. KYC, KYB, AML, AND COMPLIANCE REQUIREMENTS

To comply with applicable Anti-Money Laundering (AML), Anti-Terrorist Financing (ATF), Know Your Customer (KYC), and Know Your Business (KYB) regulations, users may be required to provide:

• Government-issued identification;
• Proof of address;
• Selfie or biometric verification;
• Source of funds information;
• Corporate documentation for business accounts;
• Any additional information reasonably requested by Kudee Hub.

Kudee Hub reserves the right to:

• Suspend or reject transactions;
• Freeze account access;
• Report suspicious activities to regulatory authorities;
• Request enhanced due diligence documentation.

5. NO INVESTMENT OR FINANCIAL ADVICE

Stablecoins available through Kudee Hub are not offered as investments.

Kudee Hub does not:

• Recommend buying, selling, or holding digital assets;
• Provide financial, tax, legal, or investment advice;
• Make representations regarding future value or market performance.

Users are solely responsible for evaluating the suitability of any transaction.

6. TRANSACTION PROCESS

Users may purchase supported stablecoins through approved payment methods.

Transactions are subject to:

• Successful verification;
• Compliance reviews;
• Availability of liquidity;
• Applicable transaction limits;
• Regulatory restrictions.

Once a blockchain transaction has been completed, it may be irreversible and cannot be canceled by Kudee Hub.

Users are responsible for providing accurate wallet addresses. Kudee Hub shall not be liable for losses resulting from incorrect wallet information provided by the user.

7. FEES

Kudee Hub may charge transaction fees, service fees, processing fees, or other applicable charges.

All fees will be disclosed before transaction confirmation.

Kudee Hub reserves the right to modify its fee structure at any time by providing notice through the platform.

8. PROHIBITED ACTIVITIES

Users agree not to use Kudee Hub for:

• Money laundering;
• Terrorist financing;
• Fraudulent activities;
• Sanctions evasion;
• Illegal gambling;
• Human trafficking;
• Cybercrime;
• Market manipulation;
• Any activity prohibited by applicable laws.

Kudee Hub may immediately suspend or terminate accounts involved in prohibited activities.

9. RISK DISCLOSURE

Users acknowledge that:

• Digital asset transactions involve inherent risks;
• Blockchain networks may experience delays, outages, or congestion;
• Stablecoins may be affected by issuer risks, regulatory actions, or market conditions;
• Kudee Hub does not guarantee uninterrupted service availability;
• Regulatory changes may affect the use or availability of stablecoins.

Users assume all risks associated with the use of digital assets.

10. INTELLECTUAL PROPERTY

All content, software, trademarks, logos, designs, and materials available on Kudee Hub remain the property of Kudee Hub or its licensors.

Users may not reproduce, modify, distribute, or exploit any platform content without prior written consent.

11. PRIVACY

Kudee Hub collects, stores, and processes personal information in accordance with its Privacy Policy and applicable privacy laws.

By using Kudee Hub, users consent to such collection and processing.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Kudee Hub, its officers, directors, employees, affiliates, and partners shall not be liable for:

• Indirect damages;
• Consequential damages;
• Loss of profits;
• Loss of data;
• Business interruption;
• Cryptocurrency market losses;
• Delays caused by blockchain networks or third parties.

Kudee Hub's total liability arising from any claim shall not exceed the fees paid by the user for the transaction giving rise to the claim.

13. INDEMNIFICATION

Users agree to indemnify and hold harmless Kudee Hub, its directors, officers, employees, and affiliates from any claims, losses, damages, liabilities, costs, or expenses arising from:

• Violation of these Terms;
• Misuse of the platform;
• Breach of applicable laws;
• Fraudulent or unlawful conduct.

14. ACCOUNT SUSPENSION AND TERMINATION

Kudee Hub may suspend, restrict, or terminate user accounts where:

• Information provided is inaccurate;
• Compliance concerns arise;
• Fraud is suspected;
• Regulatory obligations require such action;
• Users violate these Terms.

Termination does not relieve users of obligations incurred prior to termination.

15. REGULATORY COMPLIANCE

Users acknowledge that Kudee Hub may be subject to applicable regulations governing payment services, money services businesses, virtual assets, anti-money laundering, and sanctions compliance.

Kudee Hub reserves the right to modify services as required by law or regulatory directives.

16. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

17. DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms shall first be addressed through good-faith negotiations.

If a dispute cannot be resolved amicably, the parties agree to submit the matter to mediation or arbitration before commencing court proceedings, except where prohibited by law.

18. AMENDMENTS

Kudee Hub may update these Terms from time to time.

Continued use of the platform after publication of updated Terms constitutes acceptance of the revised Terms.
